Provider Partner Agreement

This Agreement sets out how OneStation Projects and independent service providers work together when OneStation introduces a customer opportunity.

How the commercial model works

OneStation Projects introduces and facilitates customer opportunities. You remain an independent business. If a customer proceeds, you issue or authorise your own quotation and, where required, customer contract, and you remain responsible for the physical work you agree to perform. The customer pays you directly. You pay OneStation the referral, marketing, facilitation or service fee agreed for that opportunity.

01Independent provider status

You operate as an independent business. Joining OneStation does not make you an employee, partner, agent or subcontractor of OneStation merely because you participate in our provider arrangements. You remain free to accept or decline individual opportunities.

02Business information and credentials

You must provide accurate and current business and contact information, including a valid ABN and any licence, registration or qualification information applicable to the services you offer or accept. Insurance information may also be requested or voluntarily provided. You must promptly notify OneStation if relevant information becomes inaccurate, expires, is suspended or is cancelled.

03Customer opportunities

OneStation may share information about a prospective customer or project so you can assess whether you wish to pursue it. You may accept or decline the opportunity. Once OneStation discloses identifiable customer or project information to you, that customer is treated as an Introduced Customer for the purposes of this Agreement.

04Opportunity fees

OneStation may charge a fixed amount or percentage-based referral, marketing, facilitation or service fee for an introduced opportunity. The applicable fee will be communicated and agreed with you before the customer quotation is progressed. OneStation may retain a written or electronic record of your acceptance of the opportunity and the agreed fee.

05Your quotation and customer contract

You determine and authorise the final price you are prepared to quote to the customer, taking the agreed OneStation fee into account. Your quotation and, where required, contract should be issued or authorised under your legal or trading name and include your ABN, applicable licence details, scope, price and other information required by law. You may send the quotation to OneStation for us to forward to the customer as part of the facilitation process. OneStation will not alter your quotation without your authorisation.

06Customer payments

Unless a different arrangement is expressly agreed in writing, the customer pays you directly. You are responsible for deposits, invoices, receipts, taxes and payment arrangements arising from your customer contract. OneStation does not need to receive the customer's project payment for the agreed OneStation fee to become payable by you.

07Payment of the OneStation fee

You must pay the agreed OneStation fee in accordance with the relevant invoice or opportunity-specific terms. Where the fee is calculated by reference to the customer contract value, you must provide accurate information about the final agreed price and any variations that affect the fee calculation.

08Introduced customers and non-circumvention

You must not deliberately bypass OneStation in order to avoid an agreed fee for a customer or project introduced by OneStation. If you contract directly or indirectly for an introduced project after receiving the opportunity from OneStation, the applicable agreed fee remains payable. Any specific treatment of repeat work, additional work or a fee-protection period may be agreed for an opportunity or documented separately in writing.

09Responsibility for your work

You are responsible for your quotation and customer contract, personnel and subcontractors, applicable licences and qualifications, insurance where required, materials, site safety, permits and approvals applicable to your work, workmanship, defects, statutory warranties, consumer guarantees, variations, delays and completion of the services you agree to perform.

10OneStation's role

OneStation may market services, receive and qualify enquiries, organise project information, introduce customers and providers, coordinate communications, receive provider quotations, forward quotations to customers and assist with administrative follow-up. These facilitation activities do not, by themselves, make OneStation the contractor performing your physical work.

11Customer and project information

You may use customer and project information supplied by OneStation only for assessing, quoting, performing and administering the relevant opportunity. You must handle personal information appropriately, securely and in accordance with applicable law.

12Provider standards and participation

OneStation may verify business information and credentials, request supporting evidence, review customer feedback and suspend or end a provider's participation where OneStation reasonably considers this appropriate. Our OneStation Approved Provider Standard is an evolving quality framework and checks may be completed progressively as our provider relationship develops.

13Compliance with law

Each party is responsible for complying with the laws and regulatory requirements that apply to its own activities. Nothing in this Agreement excludes any right or obligation that cannot lawfully be excluded.

14Changes and governing law

OneStation may update this Agreement for future opportunities by providing reasonable notice. New or materially changed commercial terms for an opportunity should be communicated before you accept that opportunity. This Agreement is governed by the laws of New South Wales, Australia.
